Please read these Terms of Use ("Terms") carefully before using the website located at www.zysteels.net (the "Site"), operated by 中粤铁网公司 / Zhongyue Steel Wire Group ("Zhongyue Steel", "we", "our", or "us").

1Definitions

By using the Site you represent that:

• You are at least 18 years of age and have full legal capacity to enter into binding agreements.
• If you are acting on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms.

• Copy, reproduce, republish, distribute, or commercially exploit any Content or Marks without prior written authorisation.
• Submit false, misleading, or fraudulent information in any inquiry or contact form.

We reserve the right to terminate or restrict access for any user we reasonably believe has violated this section.

5Product & Pricing Information

All product descriptions, specifications, dimensions, images, and technical data on the Site are provided for informational purposes only. While we make every effort to ensure accuracy, we make no guarantees that the Content is complete, current, or error-free.

• Specifications: Product tolerances, wire diameters, mesh spacings, and material grades are indicative. Final confirmed specifications are set out in a signed purchase order or sales contract.
• Pricing: No prices displayed on this Site constitute a binding offer. All prices are subject to change without notice and are confirmed only in a formal written quotation issued by our sales team.
• Availability: Product availability and lead times shown on the Site are estimates only and do not constitute a guarantee of stock or delivery date.
• Images: Product photographs and renderings are illustrative. Actual products may vary slightly in appearance from those depicted.

6Inquiries, Quotes & Orders

When you submit an inquiry or quotation request through the Site:

• You authorise us to contact you using the details you provide.
• Quotations issued by our sales team are valid for the period stated in the quotation (typically 7–14 calendar days), after which prices may change.
• An Order is binding only once both parties have signed a purchase order or sales contract and any required deposit has been received.
• All Orders are subject to our separate Sales Terms & Conditions, which will be provided with your quotation. In the event of conflict between these Terms of Use and the Sales Terms & Conditions, the Sales Terms & Conditions prevail for transactional matters.
• We reserve the right to decline any Order at our discretion, including for compliance or capacity reasons.

7Intellectual Property

All Content on the Site — including text, graphics, photographs, logos, icons, product designs, technical drawings, and software — is the property of Zhongyue Steel or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Site and its Content for your own internal business evaluation purposes only. This licence does not include the right to:

• Modify, adapt, or create derivative works from any Content.
• Use any Marks, trade names, or logos without our prior written consent.
• Reproduce or distribute Content commercially or publicly.

9Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZHONGYUE STEEL, ITS DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE TO YOU FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, goodwill, data, or business opportunities.
• Damages arising from your reliance on any Content, product information, or pricing displayed on the Site.
• Damages arising from unauthorised access to or alteration of your data or transmissions.
• Any matter beyond our reasonable control.

Our total aggregate liability to you for any claim arising out of or related to these Terms or your use of the Site shall not exceed USD $100 (one hundred US dollars), or the amount you paid us in the 12 months preceding the claim, whichever is greater.

11Indemnification

You agree to defend, indemnify, and hold harmless Zhongyue Steel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Site or any Content in a manner not authorised by these Terms.
• Any false or misleading information you submit to us.
• Your infringement of any third-party intellectual property, privacy, or other rights.

12Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia, without regard to its conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved as follows:

1. Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days after written notice of the dispute.
2. Mediation: If negotiation fails, either party may refer the dispute to mediation under such rules as the parties may agree.
3. Litigation: If mediation is unsuccessful or not agreed upon, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Phnom Penh, Cambodia.

Notwithstanding the above, Zhongyue Steel reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree with any updated Terms, you must stop using the Site.

14Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any applicable Sales Terms & Conditions, constitute the entire agreement between you and Zhongyue Steel with respect to your use of the Site, and supersede all prior agreements, representations, and understandings.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
